| Further important information | Shareholders whose shares are taken over prior to the day of the payout of the capital decrease to the Offeror (see section 5.5 for settlement) receive the full offer price of EUR 1.66 per share as purchase price. With the payment of the full offer price of EUR 1.66 per share, the claim to the capital decrease amount is thereby expressly and irrevocably settled, and thus goes exclusively to the Offeror. |
| Further important information | Shareholders whose shares are transferred to the Offeror on the day of the payout of the capital decrease or on the day after (see section 5.5 for details on the settlement) receive the offer price reduced by the capital decrease amount (this corresponds to EUR 1.41 per share), as the shareholders receive the capital decrease amount of EUR 0.25 per share in accordance with the rules for the payout of the capital decrease automatically from the Offeree Company. This rule helps to prevent any unequal treatment of shareholders whose shares are transferred to the Offeror before the day of the capital decrease versus shareholders whose shares are transferred on or after the day of the capital decrease to the Offeror. |
